Terms of Service

Weebox is a platform (the “Site”) that allows users to connect their cryptocurrency wallets to purchase and collect NFTs, and showcase their purchased NFTs to other community members.
These Terms of Service (the “Terms”), together with any other applicable terms, including, without limitation, the Privacy Policy, and guidelines incorporated by reference, govern your access and use of the Site.
Using the Site
By using the services offered on the Site (the “Services”), or otherwise accessing the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Site.
As we will update the Services frequently, we reserve the right to modify the Terms at any time. By accessing or using the Services following any change to the Terms, you agree to be bound by the revised Terms. Please review the Terms from time to time to familiarize yourself with the Services and the terms and conditions that apply to you when you access or use the Site.
User Age
The Site and Services are intended for users over the age of 18. If you are younger than 18, please discuss your use of the Site with you parent or guardian, as they will be responsible for your use of the Site, including any financial or legal responsibilities you may incur.
The Services
To participate in the minting or purchase an NFT through the Site, you must have a digital cryptocurrency wallet (“Your Wallet”) and connect it to the Site. Currently, you will be able to carry out transactions on the Platform using MetaMask or other in-wallet browsers compatible with Ethereum. Subsequent transactions of purchased NFTs may take place exclusively on Magic Eden. The Services may vary based on changes made by Weebox at its sole discretion, and Weebox expressly reserves the right to further develop, revise, or change the Services it offers on the Site.
You understand and agree that:
- You are responsible for maintaining the security of Your Wallet;
- We are not responsible, and you will not hold us responsible, for any unauthorized access to or use of Your Wallet;
- By using the Services, you will owe applicable payment and fees, including, without limitation, gas for transactions;
- By minting on the Site, you agree that you are submitting a binding offer to purchase a NFT from the Site. Your order is accepted and confirmed when the Site displays a confirmation. No refunds are permitted; and
- The smart contract affiliated with the NFT you purchase provides for resale royalty rights when the NFT is traded on the secondary market, and, upon such transfer, these rights may be automatically initiated on the Ethereum blockchain.
Your Use of the Site
We grant you a limited, revocable license to access and use the Site and the Services, provided that you agree not to engage in any activity that:
- Violates any and all applicable laws;
- Poses a threat to the Site or other community members;
- Defrauds or attempts to defraud the Site or other community members;
- Interferes with other community members’ access to or use of the Site;
- Gathers or extracts data from the Site; or
- Infringes or violates the intellectual property of the Site or third parties, including, without limitation, modifying or creating derivative works of or from the Site.
Suspension or Termination
You agree that we have the right to immediately suspend or terminate your access to the Services, for any reason in our sole discretion, including, without limitation, if we believe that you are engaging in illegal activity, you are engaging in behavior that disrupts Weebox’s community on our Discord or other social media channels, or if you are violating the Terms. You agree that in such cases we shall have no liability or obligation to you.
Use of the NFTs
Upon purchase of a NFT, you will have a non-exclusive license (the “Use License”) to display it on your social media accounts, and display it in Marketplaces to sell or transfer it on the secondary market. Once you sell your NFT to a new owner, this Use License also automatically transfers to the new owner.
In addition to the Use License, you may be granted additional rights to any NFTs you mint on the Site. For example, for the [efigurines] series of NFTs, you are permitted to make innovative, original and creative interpretations of the efigurine depicted in your owned NFT; provided, however that such use of your owned NFT and the intellectual property incorporated in such owned NFT, is limited to your personal, non-commercial use (the “Non-Commercial License”). We reserve the right to revoke the Non-Commercial License with respect to any use, deemed by us in our sole discretion, to be illegal or otherwise in violation of the Terms. If you are interested in a use of your owned NFT that is not covered by the Use License or the Non-Commercial License, please reach out to us for our review and approval.
User Content
The Site will allow users to create a profile that includes information about themselves and the NFTs they have purchased. Any such profile information is non-confidential. By providing profile information on the Site, you grant us the right to use such material, in any way, for our legal purposes. Although we are not required to monitor user content, we may, in our sole discretion, remove any user content at any time and for any reason without notice. You agree that in such cases we shall have no liability or obligation to you.
If you believe that third-party material hosted on the Site infringes your copyright, please open a support ticket on our Discord channel.
Our Assets
Unless otherwise indicated, the Site and all content in the Site, including our logo and look and feel of the Site are our property (“Weebox Assets”). Weebox Assets may not be copied, adapted or used, in whole or in part, without our prior written permission.
Risks
Our Services on the Site are offered as-is, and there may be associated risks. For example, NFT transactions may be irreversible, potential losses you may experience due to fraudulent or accidental transactions may not be recoverable, NFTs may lead to an increased risk of cyber attack to the information you provide on the Site, and technical difficulties may prevent access to or use of the NFTs you purchase.
We make no representation or warranty of any kind, express or implied, as to the Site or the Services, and disclaim all warranties to the extent permitted under applicable law. You understand and expressly agree that your use of the Site or the Services is at your sole and own risk, and that we will not be responsible to you for any issues you may experience when using the Site or the Services, however caused.
You acknowledge that the value of NFTs you may acquire using the Site is subjective, just like the value of any other collectible, and because of this, the NFTs have no intrinsic value. As an example, you might value a certain type of figure higher over others because of your unique and personal affinities, and that is no different for the NFTs you may acquired on the Site.
Third Parties
We may rely on third parties for you to be able to use the Services on the Site. In such cases, the Site will contain links to or embed assets from third party websites or applications (such websites or applications, the “Other Sites” and such assets, the “Other Site Information”). To the extent reasonable, you will be made aware when you will be using the Other Sites or Other Site Information to use the Services on the Site. We do not own or control the Other Sites. Your use of the Other Sites or Other Site Information is subject to any terms of use, including privacy policies, set forth by such Other Sites. We do not endorse or guarantee the services offered by the Other Sites.
Limitation of Liability
Under no circumstances will we be responsible or liable to you or any third party arising out of or in connection with the Site or the Services for any indirect, special, consequential, liquidated or punitive damages, whether in contract or tort (including negligence) or otherwise, even if we have been advised of the possibility of such damages.
Under no circumstances will our total liability to you or any third party arising out of or in connection with the Site or the Services exceed the greater of USD 100.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.
Indemnification
You agree to defend, indemnify and hold harmless us and our officers, directors, shareholders, employees, service providers, and consultants, from and against all claims and expenses, including but not limited to attorney fees, in whole or in part arising out of or attributable to any breach of the Terms by you, or your access to or use of the Site or the Services.
